Acceptance of terms

By accessing or using the OfferGrid USA website, forms, GRID account areas, or related services (collectively, the "Services"), you agree to these Terms of Use. If you do not agree, do not use the Services.

Pre-launch status

OfferGrid USA is currently in a pre-launch state. Features, content, eligibility, availability, and access may change as the platform develops.

Description of service

OfferGrid USA operates a business opportunity, resource, and offer-routing platform that helps businesses and partners explore potentially relevant categories, resources, and next steps. OfferGrid USA does not provide legal, tax, payroll, insurance, lending, benefits, or financial advice, and is not a lender, insurer, payroll provider, benefits provider, plan administrator, law firm, tax advisor, or accounting firm.

No guarantees

OfferGrid USA does not guarantee savings, funding, eligibility, approval, tax credits, benefits, income, commissions, or any specific business outcomes. Eligibility and availability vary by provider and business circumstances. Any potential opportunity should be reviewed with qualified legal, tax, payroll, insurance, benefits, and financial professionals before implementation.

User responsibilities

• Provide accurate information and updates
• Have authority to submit information about a company or business you represent
• Do not submit confidential or sensitive personal documents (such as Social Security numbers, bank credentials, tax returns, or medical records) through public forms unless OfferGrid USA has specifically requested them through a secure process
• Comply with applicable laws and these terms

GRID access

Access to Company GRID, Affiliate GRID, or Admin GRID may be limited, suspended, modified, or removed at OfferGrid USA's discretion. Setup links and password flows are provided for account creation and recovery. You are responsible for maintaining the security of your credentials and for activity that occurs under your account.

Affiliate terms are separate

These Terms of Use do not replace or modify any separate affiliate or partner agreement. Nothing in these terms creates a right to commissions or other compensation; any such compensation, if any, depends on a separate written agreement with OfferGrid USA.

Provider and offer-partner terms

Listing or review of a provider, GRID Offer Partner, or offer does not guarantee inclusion, referrals, leads, placement, exclusivity, or revenue. OfferGrid USA may remove, modify, or decline listings or applications at its discretion.

Third-party providers

Third-party offers, products, and services are subject to the third party's own terms. OfferGrid USA is not responsible for third-party decisions, pricing, eligibility, underwriting, fulfillment, or performance.

Communications consent

By submitting a form, you agree that OfferGrid USA may contact you about your request and, where you have checked a marketing-communications consent, about related updates. You may opt out of non-essential communications where required by law or as indicated in our messages.

Intellectual property

Site content, branding, the GRID structure, forms, and workflows are owned by or licensed to OfferGrid USA. Third-party trademarks belong to their respective owners. You may not copy, reproduce, redistribute, scrape, or create derivative works of site content without prior written permission.

Prohibited uses

• Scraping or automated extraction of content
• Reverse engineering or probing of non-public systems
• False, misleading, or fraudulent submissions
• Spam, harassment, or abusive content
• Uploading malicious, infringing, or unlawful content
• Misrepresenting affiliation with OfferGrid USA or any provider
• Unauthorized access to accounts, data, or systems

Disclaimers

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. As a pre-launch platform, features and content may change.

Limitation of liability

To the maximum extent permitted by applicable law, OfferGrid USA and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or in connection with your use of the Services.

Indemnification

You agree to indemnify and hold OfferGrid USA harmless from claims, losses, and expenses arising out of your use of the Services, your submissions, or your violation of these terms or applicable law.

Governing law

These terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles, except where mandatory consumer-protection laws of your jurisdiction apply.

Changes

We may update these Terms of Use from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Services after changes constitutes acceptance of the updated terms.
